Welcome to Jorrify.

Jorrify is a birthday celebration platform operated by 2moni Ltd. ("Jorrify," "2moni," "we," "us," or "our"). Jorrify helps people remember, organize and meaningfully celebrate birthdays through birthday reminders, personal connections, celebration pages, gifts, group contributions, birthday wishes, shared memories and related services.

These Terms of Service ("Terms") govern your access to and use of:

• the Jorrify website;
• Jorrify mobile applications;
• Jorrify celebration pages;
• Jorrify gifting and group-gifting services;
• Jorrify communication and notification services;
• Jorrify content, features, software and related services.

Collectively, these are called the "Services."

By creating an account, accessing or using the Services, participating in a Jorrify celebration, sending a gift, making a group contribution, submitting content, or otherwise using Jorrify, you agree to these Terms and any policies incorporated into them.

If you do not agree, do not use the Services.

Jorrify exists to make birthdays more meaningful.

Our goal is to help people move beyond temporary birthday messages by enabling tangible expressions of celebration through gifts, wishes, memories, shared experiences and lasting connections.

Jorrify is a technology platform. Unless expressly stated otherwise, Jorrify is not:

• a bank;
• a deposit-taking institution;
• a credit union;
• an investment service;
• a financial adviser;
• a money-storage account;
• an insurance provider;
• a charity;
• the seller of third-party goods;
• the creator of user-generated content.

Payment services may be provided by independent payment processors and financial-service providers.

You may use Jorrify only if:

• you can legally enter into these Terms;
• your use is permitted by the laws applicable to you;
• you provide accurate information;
• you comply with these Terms and Jorrify policies.

Users below the applicable age of legal capacity may require the permission and supervision of a parent or legal guardian.

Certain features may have higher age requirements. Payment receipt, payout onboarding, public celebration management and other financial features may require adult participation, guardian authorization or identity verification.

Jorrify may restrict features based on:

• age;
• country;
• payment-provider requirements;
• legal requirements;
• account-verification status;
• safety concerns;
• risk assessments.

To use certain features, you must create a Jorrify account.

You agree to:

• provide accurate and current information;
• maintain the accuracy of your information;
• protect your login credentials;
• use only accounts you are authorized to access;
• notify Jorrify promptly if you suspect unauthorized access.

You are responsible for activity conducted through your account unless applicable law provides otherwise.

You may not:

• create an account using another person’s identity;
• impersonate another person;
• create deceptive or fraudulent accounts;
• create multiple accounts to evade restrictions;
• sell, transfer or rent your account;
• use automated systems to create accounts without authorization.

Jorrify may require email, telephone, identity or other verification.

A birthday is a core part of the Jorrify experience.

When creating an account, you may be required to provide your:

• birth month;
• birth day;
• birth year.

Jorrify may use this information to:

• calculate upcoming birthdays;
• calculate age where permitted;
• create birthday reminders;
• generate celebration timelines;
• personalize the Services;
• apply age-appropriate protections;
• determine feature eligibility;
• support safety and legal compliance.

You must provide accurate birthday information.

You may not knowingly create a false birthday profile for deceptive, fraudulent, harmful or impersonation purposes.

Users may be provided with privacy controls governing how birthday information appears.

Depending on the selected setting, birthday information may be visible to:

• only the user;
• approved friends or connections;
• invited participants;
• people with a valid celebration link;
• the broader Jorrify community;
• the public.

Certain information may be displayed separately. For example, a user may choose to display the month and day without displaying the birth year or age.

The developer must not assume that consent to store a birthday is consent to display the full date of birth publicly.

Jorrify may allow users to add friends, relatives, colleagues or other people manually.

A manually added person may not yet have a Jorrify account.

When adding another person, you represent that:

• you have a genuine relationship or legitimate reason to add the person;
• the information is accurate to the best of your knowledge;
• you will not use the feature to impersonate, harass, monitor or misrepresent the person;
• you will respect the person’s privacy and choices.

Manually added profiles must not automatically become public profiles.

A manually added person may later:

• join Jorrify;
• verify their identity;
• claim an associated birthday profile or celebration;
• correct inaccurate information;
• request removal;
• control future privacy settings.

Jorrify may allow users to identify contacts who already use Jorrify or discover birthdays from their personal network.

Where supported, contact access must be optional and permission-based.

Jorrify should not require users to upload their entire contact list as a condition of basic account access.

When contact information is processed, Jorrify may use privacy-preserving matching methods, including normalized and cryptographically hashed identifiers, where appropriate.

Jorrify must not:

• publish a user’s address book;
• sell imported contacts;
• use imported contacts for unrelated advertising;
• automatically send invitations to every contact;
• publicly expose which contacts were uploaded;
• retain unnecessary raw contact information indefinitely.

Users must be able to decline contact access and use manual-add alternatives.

Jorrify may allow users to create or manage relationships such as:

• friend;
• family;
• colleague;
• teammate;
• classmate;
• other relationship categories.

A relationship label does not establish a legal, familial, employment or financial relationship.

Users may be able to:

• accept or decline connections;
• remove connections;
• block users;
• manage birthday visibility;
• control notifications.

Jorrify may allow users to create celebration pages for themselves or, where permitted, for other people.

Celebration pages may include:

• names;
• profile photographs;
• birthday information;
• age information;
• countdowns;
• celebration messages;
• wishes;
• gifts;
• group gifts;
• memories;
• photographs;
• participant information;
• activity updates.

Celebration visibility may include:

• private;
• invited participants only;
• anyone with the link;
• public on Jorrify.

The creator must select an appropriate visibility level.

A celebration link should not be treated as completely secret. A person who receives a link may forward it. Jorrify cannot guarantee that recipients will not copy, share or capture content.

A celebration may include different roles:

• Celebrant
• Organizer
• Co-organizer
• Participant
• Viewer

The celebrant is the person whose birthday is being celebrated.

An organizer may help create or manage a celebration but does not automatically own:

• the celebrant’s identity;
• the celebrant’s birthday information;
• the celebrant’s gifts;
• the celebrant’s payout rights;
• the celebrant’s privacy rights.

Where a celebration is created for a person who has not joined Jorrify, Jorrify may require the person to verify their identity before claiming the celebration.

A person may request to claim a celebration associated with them.

Jorrify may require:

• verified email;
• verified telephone number;
• a secure invitation;
• organizer confirmation;
• identity verification;
• additional evidence.

Name and birthday alone may not be sufficient.

When a celebration is successfully claimed:

• existing wishes may be preserved;
• gifts may be preserved subject to payment rules;
• memories may be preserved;
• the existing celebration link may remain active;
• privacy control may transfer to the verified celebrant;
• organizer access may be retained, limited or removed.

Jorrify may enable eligible users and guests to send gifts or contribute to group gifts.

Gift transactions are governed by the Gift and Payment Terms.

By initiating a gift, you authorize the displayed payment amount, applicable fees and taxes, if any.

Jorrify may:

• establish minimum or maximum amounts;
• limit transaction frequency;
• delay, review, reject or cancel transactions;
• require identity verification;
• restrict gifting by location;
• restrict gifting involving minors;
• investigate suspicious activity.

A gift is not complete merely because a payment button has been selected.

Completion depends on confirmation from the applicable payment provider.

Jorrify may use third-party payment providers, including Stripe, to process payments, verify payout recipients and facilitate transfers.

Payment-provider terms may apply separately.

Where Stripe Connect is used, eligible payout recipients may be required to enter into Stripe\u2019s applicable connected-account agreement and complete required onboarding.

Jorrify does not receive or store complete payment-card information when payment information is collected directly by the payment provider.

Jorrify may charge:

• platform fees;
• service fees;
• processing-related fees;
• currency-conversion fees;
• marketplace fees;
• other clearly disclosed fees.

All applicable fees must be shown before payment authorization.

Jorrify must not display a gift as "C$10 to Liam" if Liam will receive materially less without clearly explaining the deduction.

The payment screen should show:

• Gift amount
• Jorrify service fee
• Applicable taxes, if any
• Total charged
• Expected recipient amount

"User Content" includes:

• birthday wishes;
• photographs;
• memories;
• comments;
• celebration messages;
• profile images;
• videos, if enabled;
• captions;
• reactions;
• other submitted materials.

You retain ownership of content you own.

By submitting User Content, you grant Jorrify a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, display, format and distribute the content only as reasonably necessary to:

• operate the Services;
• display the content according to your selected settings;
• provide celebration features;
• generate authorized previews;
• maintain backups;
• improve safety;
• comply with legal obligations.

This licence ends when the content is deleted, subject to reasonable backup periods, legal retention obligations and content shared or retained by others.

You represent that:

• you own the content or have permission to use it;
• the content does not violate another person’s rights;
• the content is not unlawful;
• the content does not violate Jorrify policies.

You are responsible for the content you submit.

Jorrify may remove, restrict or review content that violates these Terms or creates safety, privacy or legal concerns.

Jorrify, its software, designs, branding, logos, trademarks, interfaces, original content and technology are owned by or licensed to 2moni Ltd.

You may not:

• copy Jorrify’s software;
• reverse engineer protected components except where law permits;
• reproduce Jorrify branding without authorization;
• create misleadingly similar services;
• scrape Jorrify data;
• use Jorrify trademarks without permission;
• remove proprietary notices.

Jorrify grants users a limited, revocable, non-exclusive, non-transferable licence to use the Services for their intended purposes.

You may not use Jorrify to:

• commit fraud;
• impersonate another person;
• create fake celebrations;
• solicit money deceptively;
• harass, threaten or bully;
• publish private information without authorization;
• exploit or endanger minors;
• distribute unlawful content;
• conduct unauthorized commercial activity;
• manipulate gifts or referrals;
• evade payment controls;
• interfere with the Services;
• upload malicious software;
• scrape data without authorization;
• create artificial traffic;
• misuse contact information;
• violate another person’s rights.

Additional restrictions appear in the Acceptable Use Policy.

Jorrify may use:

• automated systems;
• user reports;
• human review;
• payment-risk systems;
• fraud controls;
• content filters.

Jorrify may:

• remove content;
• limit visibility;
• suspend features;
• freeze or delay transactions where legally permitted;
• restrict an account;
• suspend an account;
• terminate an account;
• preserve evidence;
• cooperate with lawful authorities.

Jorrify is not obligated to monitor every item before publication.

Jorrify may restrict, suspend or terminate access where reasonably necessary because of:

• Terms violations;
• fraud;
• payment risk;
• unlawful activity;
• safety concerns;
• repeated complaints;
• impersonation;
• unauthorized access;
• legal obligations;
• payment-provider requirements.

Where appropriate, Jorrify may provide notice and an opportunity to appeal.

Immediate action may be taken where delay could create harm, fraud, financial loss or legal risk.

Users may request account deletion through:

Settings → Account → Delete Account

or by contacting compliance@jorrify.com

Deletion may not immediately remove information that Jorrify must retain for:

• financial records;
• fraud prevention;
• disputes;
• legal obligations;
• security;
• enforcement;
• transaction history.

Jorrify should explain what will be deleted, anonymized or retained.

Jorrify may send operational communications concerning:

• account security;
• verification;
• birthdays;
• reminders;
• gifts;
• payment status;
• wishes;
• celebration activity;
• privacy;
• policy changes;
• customer support.

Marketing communications should be treated separately.

Where Canada\u2019s Anti-Spam Legislation (CASL) applies, commercial electronic messages may require consent, sender identification and an unsubscribe mechanism.

Jorrify aims to provide reliable Services but does not guarantee uninterrupted operation.

Features may be unavailable because of:

• maintenance;
• technical failure;
• internet disruption;
• payment-provider outages;
• security events;
• legal restrictions;
• third-party-service failures.

Jorrify may integrate with:

• payment providers;
• identity-verification providers;
• cloud-hosting services;
• email providers;
• notification providers;
• analytics providers;
• social-sharing services;
• Apple;
• Google;
• other authorized providers.

Third-party services may have separate terms and privacy practices.

To the maximum extent permitted by law, the Services are provided on an "as available" basis.

Jorrify does not guarantee:

• that every birthday is accurate;
• that every reminder will be delivered;
• that every invited person will participate;
• a particular gift amount;
• a particular number of contributors;
• uninterrupted access;
• compatibility with every device;
• that user-generated content is accurate.

Nothing in these Terms excludes rights that cannot legally be excluded.

To the maximum extent permitted by applicable law, Jorrify and 2moni Ltd. will not be liable for indirect, incidental, special, consequential or punitive losses arising from use of the Services.

To the extent permitted by law, you agree to be responsible for claims arising from:

• your unlawful use of Jorrify;
• your violation of these Terms;
• content you submit;
• your infringement of another person’s rights;
• fraudulent or deceptive activity.

This provision does not limit rights that cannot legally be waived.

Jorrify may update these Terms.

For material changes, Jorrify may provide notice through:

• the application;
• email;
• the website;
• another reasonable method.

The updated effective date will be displayed.

Where consent is legally required, Jorrify will request it.

Subject to mandatory consumer protections and other applicable laws, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.
